Peltz Bids $7.35 to Acquire Wendy's Amid Slumping Sales
Trian Fund Management proposes a cash deal worth a 19% premium as the chain prepares to report quarterly earnings next week.

Wendy's stock rose 15 percent on Wednesday after Nelson Peltz, a prominent investor, proposed a cash bid to purchase the fast-food chain. The offer values each share at 7.35 dollars, representing a premium of nearly 19 percent over the previous day's closing price.
The bid comes as the company faces persistent financial headwinds. Wendy's shares have declined by 25 percent over the past year, extending a multi-year downward trend. Comparable store sales, a key metric for restaurant performance, have fallen for more than two consecutive years, including the first two quarters of 2026.
Peltz's firm, Trian Fund Management, submitted the offer alongside several partners. In a letter addressed to the Wendy's board of directors, Peltz argued that taking the company private would yield the best outcome for its stakeholders. He described the company as being at a critical juncture, citing challenging external conditions.
The investor noted that the environment has become increasingly difficult due to pressure on the American consumer, economic uncertainty, sustained inflation in raw materials, and intensifying competition within the quick-service restaurant sector. Peltz has previously held stakes in corporations such as Procter & Gamble, Disney, and DuPont.
A regulatory document filed on Wednesday indicates that Trian currently owns a 16.3 percent stake in Wendy's. The company, which is headquartered in Dublin, Ohio, declined to comment on the proposal. The chain was founded in 1969 by Dave Thomas and is named after his daughter.
Wendy's is scheduled to release its quarterly financial results next week. Analysts project that the company will report earnings of 9 cents per share on average revenue of 531 million dollars. On Wednesday, the stock price increased by 91 cents to reach 7.05 dollars.
